What Is Venture Debt?
Venture debt lets funded startups borrow growth capital without selling more equity. Here is how it works, what it costs and when it makes sense.
Venture debt is a loan designed for startups that have already raised equity funding from institutional investors but want extra capital without diluting ownership further. It usually sits alongside an equity round and is used to extend runway, fund growth or bridge to the next round.
How venture debt works
A lender assesses the strength of the startup, its investors, its revenue trajectory and its cash position, and offers a term loan with a repayment schedule. Many facilities start with an interest-only period and then move to monthly instalments. Some lenders also ask for a small equity-linked component such as warrants; this varies by lender and deal.
When it can make sense
- You have recently raised an equity round and want to extend runway without a new round.
- You need capital for equipment, inventory, sales expansion or acquisitions.
- You want to reach a stronger milestone before raising your next equity round.
- Your business has predictable revenue and can service monthly repayments.
What to watch out for
- Repayments are fixed, so cash flow must cover them even in a slow quarter.
- Facilities may carry covenants, fees and security requirements. Read them closely.
- Debt is not a substitute for a business that is not yet viable. It works best as a complement to equity.
Venture debt vs equity
Equity costs ownership; debt costs interest and repayment discipline. Founders often use both: equity for long-term bets and debt for predictable needs. The right mix depends on stage, margins, investor expectations and how certain future revenue is.

Frequently asked questions
Does venture debt dilute ownership?
Venture debt is a loan, so it generally does not dilute ownership the way equity does. Some deals include warrants, so check the terms.
Who can raise venture debt?
It is usually offered to startups that have institutional equity backing and a clear revenue path, though criteria differ by lender.
Can venture debt replace an equity round?
It can extend runway, but it is normally used alongside equity rather than instead of it.
